In other words, we'd have to read your bylaws in their entirety, something that's beyond the scope of this forum. But it seems very unlikely that your board could increase the size of the board, which is what it would be doing if it granted ex-officio board member status to anyone (if you give someone the right to vote you've essentially made them a member). No, only members of the board have the right to vote at board meetings. Or must ex officio status be explicitly conferred by the Bylaws? Yes, the bylaws should specify the board's composition.
