A five member Board, elected by the members, handles the operation of the organization. In Chapter/Section 9, pages 94-95, it states, "Minutes from one annual should not be held for action until the next one a year later." (see pp. 474-475) If the board has not been previously authorized by the membership to approve the minutes, then the membership would have to approve them. At the annual meeting, someone should move that the Board be authorized to approve the minutes of this meeting.I agree with Mr. Novosielski's statement, but what is the situation when there is no such resolution adopted at the annual meeting? Does the Board, which handles the operation of the organization (according to Mr. Lamont), have the power to approve the minutes?
