Annual Meeting Minutes

Our Bylaws state that there is one annual meeting a year.  A five member Board, elected by the members, handles the operation of the organization.  In Chapter/Section 9, pages 94-95, it states, "Minutes from one annual should not be held for action until the next one a year later."  Does the Board approve the Annual Meeting minutes or does it wait for the membership to assemble to approve them?

In your case (when the next meeting is not within a quarterly time interval), RONR says, "the executive board or a committee appointed for the purpose should be authorized to approve the minutes." (see pp. 474-475)

 

If the board has not been previously authorized by the membership to approve the minutes, then the membership would have to approve them.

At the annual meeting, someone should move that the Board be authorized to approve the minutes of this meeting.

I agree with Mr. Novosielski's statement, but what is the situation when there is no such resolution adopted at the annual meeting?   Does the Board, which handles the operation of the organization (according to Mr. Lamont), have the power to approve the minutes?    Or must the minutes remain unapproved until the next annual meeting (or perhaps a special meeting) of the membership?

I'm not at all sure that the answer I posted in the thread referenced answers this question directly because we don't know exactly what authority the bylaws confer upon this board. That response assumed (perhaps incorrectly) that the bylaws do not confer the requisite authority.
