However, there have been times that a special board meeting needs to be called because of a situation requiring immediate attention. How does the board go about calling a special board meeting? In addition to providing for special meetings of the board, you might also consider authorizing certain officers to act individually. If a situation truly requires "immediate attention" there might not be enough time to call a special meeting (for which "reasonable notice" should be required). They can decide on the specifics such as advance notice of the special meeting and how they will notify board members that a special meeting is needed. No. But even if it could, the board would have to vote at a meeting of the board and, if the board is already meeting, there's no need for a special meeting. Provisions for calling special meetings typically authorize an individual (e.g. the president) to call the meeting.
