At issue is whether the actions of a Board can officially occur without prior notice of the item to its Club members, and to its Board members? While the specific issue is not relevant to the question, it does show why it is important. Issue: The Agenda for a meeting did not show a motion to censor a member of the Board. During that meeting of the Board, a different Board member, under their duly noticed report, made a motion to censor a member of the Board. The Board member in question was not present (not even in town), nor was the item included as an agenda item prior to the meeting. The Board inevitably took no action. Agendas are optional. And subject to change. See FAQ #14. Some items of business usually require previous notice (e.g. amendments to the bylaws); most do not. Some items of business usually require previous notice (e.g. amendments to the bylaws); most do not.And unless you have a bylaw provision or special rule that prohibits the consideration of items not on the agenda, new business is always in order regardless of whether the particular item of business (motion) is listed on the agenda.
