Guest Mike Jones Posted January 13, 2015 at 09:41 PM Report Share Posted January 13, 2015 at 09:41 PM Hi guys,I thought I would ask the experts.We have three year terms for our Board members.We elect officers at our Nov Board meeting ( elections conclude on Oct 31 for new directors).We typically had our Executive Board take control Jan 1 , along with all the other newly elected Board members.Someone today brought up that the new President doesnt take control until our awards gala and the installing of the new Board.That is just a formality and not even required, wouldnt our new Board take control Jan 1? Is there anything written on this? RONR says that your new board members take office as soon as their election is complete (presumably on Halloween). Same thing for your officers (presumably some time in November). If your rules delay the start of their terms to the first of the year (do they?) then those are your rules. I think that is something we may need to adress right away.Thanks for your knowledge on RONR.If your bylaws truly say nothing about the terms of office or when officers take office, other than the date of elections, then the newly elected officers take office the moment their election is complete. They don't even have to wait until the end of the meeting. Make doubly sure that your bylaws are completely silent as to when the terms of office start (or end). Most bylaws DO specify when the terms begin or when the newly elected officers take office. Edited to add: The following is what RONR says on page 444 about when newly elected officers take office: "An officer-elect takes possession of his office immediately upon his election's becoming final, unless the bylaws or other rules specify a later time. If a formal installation ceremony is prescribed, failure to hold it does not affect the time at which the new officers assume office." Link to comment Share on other sites More sharing options...
