Board members agreed to deal with the one topic subject of this urgent meeting. I assumed we would approve minutes at our next full meeting. Both of the above two meetings, were short, urgent one topic meetings. This week we held a full meeting, I assumed we would approve both sets of minutes. I was told the minutes that had been waived were approved. The Board then only voted and approved the second meeting minutes. Is waiver of minutes by the President an approval of the minutes? If I understand correctly that these "urgent meetings" were special meetings, then it was correct for the board to not approve minutes at those meetings, but all of the minutes must eventually be approved by the board, not "waived" by the President.
