Guest Philip Posted January 15, 2015 at 01:38 PM Report Share Posted January 15, 2015 at 01:38 PM Who is authorized to call for an executive session in an association board meeting that is a non-profit. It is our belief that only the president can authorize such but individual board members may request such. In addition, can a regularly scheduled board conference call be held in it's entirety as executive session.
Edgar Guest Posted January 15, 2015 at 01:45 PM Report Share Posted January 15, 2015 at 01:45 PM An executive session isn't "called for". The assembly (the members present) decides whether (and when) to meet in executive session. A majority vote (or, or course, unanimous consent) will do the trick. All or part of a meeting can be held in executive session. Some boards meet exclusively in executive session, either by custom or by rule.
Guest Guest Posted January 15, 2015 at 02:10 PM Report Share Posted January 15, 2015 at 02:10 PM Thank you Edgar. So it can be understood that is not only at the direction/request of the president, anyone can request and unanimously approved.
jstackpo Posted January 15, 2015 at 02:21 PM Report Share Posted January 15, 2015 at 02:21 PM Yes - the request (as a motion - p. 230) can be made by any member, but the association (majority vote) makes the decision to do so.
Bruce Lages Posted January 15, 2015 at 04:27 PM Report Share Posted January 15, 2015 at 04:27 PM The group can certainly enter executive session at the request of the president, as long as that request is approved by majority vote or unanimous consent, but it does not enter executive session solely at the direction of he president.
