RESCINDING A MOTION ON A NOTICE OF MEETING

Hello,

 

Our AGM Notice of meeting has already been issued and received by our Members.

 

There is an item on the agenda regarding ammendments to a by law.

 

Can the item on the Notice of Meeting be rescinded before the meeting even begins?

 

or do we have to follow the notice of meeting as it stands and make a motion to "Postpone Indefinitely"? when we get to that item on the agenda?

You don't have an agenda until one is adopted at your meeting, and in any event, simply giving notice of intent to make a motion is not the same thing as actually making one.

It is possible that the "notice of meeting" and agenda item do not satisfy the previous notice requirements for a bylaw amendment contained in your bylaws and RONR.   Whether the requirements were met depends on the precise wording of your bylaws regarding bylaw amendments and whether the notice sent to the members satisfies that requirement.  Sometimes, the actual wording of the proposed amendment must be given to the members.  In other cases, just the general purport of the proposed amendment will  suffice.  See RONR pages 121-122, among other pages.
