Guest John G. Posted January 22, 2015 at 03:50 PM Report Share Posted January 22, 2015 at 03:50 PM My board said there is no need to wait till a Board Meeting to get routine things approved and that they could do it by email. But what is the procedure for getting these decisions into the Minutes, because my understanding was that "if it's not in the Minutes, it didn't happen." Thanks John
Chris Harrison Posted January 22, 2015 at 03:58 PM Report Share Posted January 22, 2015 at 03:58 PM Do the bylaws specifically allow the Board to conduct business via email? If they don't you can't do it (RONR pp. 423-424). If the bylaws do authorize email voting then it will be up to you all to work out the details (for example how such decisions end up in the minutes). Guest John G. Posted January 22, 2015 at 04:29 PM Report Share Posted January 22, 2015 at 04:29 PM Thanks, looks like we'll have to change the By-Laws.
Hieu H. Huynh Posted January 22, 2015 at 04:31 PM Report Share Posted January 22, 2015 at 04:31 PM ... my understanding was that "if it's not in the Minutes, it didn't happen." Also, a more correct statement is that minutes are a record of what was done at a meeting (also see FAQ #15). So even if a main motion was improperly adopted at a meeting, it still happened and that motion would be recorded in the minutes.
Josh Martin Posted January 22, 2015 at 07:40 PM Report Share Posted January 22, 2015 at 07:40 PM ...my understanding was that "if it's not in the Minutes, it didn't happen."I wouldn't say that. If a motion was adopted at a meeting and it was mistakenly omitted from the minutes, the motion was still adopted. The minutes just need to be corrected.
