Edgar Guest Posted January 30, 2015 at 05:57 PM Report Share Posted January 30, 2015 at 05:57 PM Can executive board vote to extend term of willing volunteer with vote from membership No. If you want to change the terms of office (including term limits) you'll need to amend your bylaws. Bruce Lages Posted January 31, 2015 at 03:09 PM Report Share Posted January 31, 2015 at 03:09 PM Unfortunately, that doesn't change the fact that term limits specified in the bylaws can only be altered by amending the bylaws.
Transpower Posted February 1, 2015 at 01:51 PM Report Share Posted February 1, 2015 at 01:51 PM The bylaws should be altered by adding the phrase "[and/or] until their successors are elected." The choice of "and" or "or" depends on what you want to accomplish. See RONR (11th ed.), pp. 573-574.

Well, you can't force someone to stay in office beyond their term. The bylaws could be amended to eliminate (or at least extend) term limits and let the voters decide how many terms a person should serve. Of course the real problem is figuring out why no one wants the job.

Even the club itself could not vote to extend the officer's term beyond the limits in the bylaws, let alone the Executive Board. Well, you can't force someone to stay in office beyond their term. The bylaws could be amended to eliminate (or at least extend) term limits and let the voters decide how many terms a person should serve. Of course the real problem is figuring out why no one wants the job. No one said anything about forcing anyone to stay in office. The OP has stated (in Post #3) that the incumbent is willing to continue to serve, but is term-limited. If the bylaws provided that officers continue to serve until their successors are elected, that would indeed (temporarily) solve the organization's current problem, as the current officer would continue to serve until the assembly can find a successor. Ah, I overlooked (or, more accurately, forgot) Post #3. Although if the term has already expired, adding the "or until" clause at this point won't help (not that it's not a good idea anyway). Eliminating (or extending) term limits would be the only way the former office-holder could be re-elected.
