Board meeting not quorum go into executive committee

If we have a board meeting but do not have quorum, however we have quorum for our executive committee and our bylaws say executive committee can act between board meetings, can the board meeting that was scheduled and published as a board meeting then become an executive committee meeting? Only executive committee members voting but other board members in attendance and adding to the discussion.

No, unless your bylaws permit a meeting of the Executive Committee to be called with only a few moments notice (which seems unlikely).

Not unless all the executive committee members are present.

Thanks. I should have remembered that (since I participated).

 

I also wanted to add that the bylaws would have to provide for special meetings of the executive committee but my computer froze when I tried to edit my post. And I wanted to add that one meeting wouldn't "become" the other meeting. But, since I had already done enough damage, maybe my computer was telling me something.
