Board attendance at general membership meeting

At board meetings you'll need a certain number of board members present in order to conduct business.

 

At meetings of the (general) membership you'll need a certain number of (general) members present in order to conduct business. The board members should check their board member hats at the door.

 

But a meeting can be official even if a quorum isn't present. It's just that you can't do very much. So the minutes will be brief.

Does there need to be a quorum of the board at a membership meeting for the meeting to be official? we have no requirement as to the number of members needed to have a membership meeting and the board are all members.

Can you clarify what you mean by that post?  Is there no quorum requirement for either board meetings or general membership meetings?    If the bylaws are silent, RONR says that a quorum of a particular body is a majority of the members of that body.  That would be a majority of board members for a board meeting and a majority of members of the organization, regardless of whether they are also board members, at a general membership meeting.

 

As Mr. Guest said, any board members who are present at a meeting of the general membership are there as general members, not as board members (assuming they are members of the organization).  Whether they are also on the board is irrelevant.

The meeting is "official" whether a quorum is present or not.  That is, the meeting can be said to have actually occurred (which may have been a requirement in the bylaws).

 

But without a quorum, no business can be conducted, so there won't be any "official" actions taken.
