Tom Morelock Posted April 24, 2015 at 11:15 PM Report Share Posted April 24, 2015 at 11:15 PM Our bylaws say nothing about standing rules. so can the board pass standing rules or only the membership? traditionally both the board and the membership have passed/amended them however if the membership passes or amends a rule then we assume they are the only ones who can change anything on that particular rule. are we doing this right? If it has full authority over the affairs of the organization between meetings of the membership, and no restriction about adopting standing rules and special rules of order, I would say that it has that authority. You are correct that the board cannot countermand a decision of the membership.... but the membership can countermand board actions.
