The chairman does not have the authority, as an individual, to issue a directive to board members "to not take action on an organizational business matter" unless the organization's rules so provide. Yes. See FAQ #20, which also covers discipline against chairmen who go around issuing "directives" to members, except as the bylaws may provide.
