what happens if President resigns during "Lame Duck" period?

Our Bylaws state that terms start Jan 1st ( votes are counted at annual meeting in Sept) here is the question, lets say a new president gets elected in Sept. the old one resigns so that the vice president takes over. come Jan 1st does the vice President get his old job back? can the new President just move into Office? The Board has the authority to fill any vacancies other than President. so if they do that for the vacant vice president position, does the original elected one take over Jan 1st?

The person elected president in September becomes president on January 1.

 

The vice-president, who served as president for three months, is out of a job. Unless he was re-elected as vice-president.

 

If, before January 1, the board filled the vacancy in the office of vice-president, that person only serves until the new term begins (on January 1).

 

it best to think of the terms of office rather than who might be occupying the office at any given time.

One thing i left out, the term for President and vice President is two years. elected in opposite years, so the Vice President's term would not be up until the following January a year later.

 

Once the vice-president became the president there was a one-year vacancy in the office of vice-president. So whoever was selected to serve as vice-president would serve for only one year.

 

And you might want to amend your bylaws to synchronize the terms of office of the president and vice-president.

No, he doesn't get his job back.  Whoever was appointed to fill the VP vacancy remains VP until that term is up.
