Edgar Guest Posted May 12, 2015 at 05:55 PM Report Share Posted May 12, 2015 at 05:55 PM Unless there is unanimous consent, voting (on motions) is how deliberative bodies (e.g. boards) make decisions. If an individual (e.g. the president) is authorized to make the decision, no vote is required.
Gary Novosielski Posted May 12, 2015 at 06:01 PM Report Share Posted May 12, 2015 at 06:01 PM Well, sending a letter to the board does not compel them to make a motion, or do much of anything. Make the motion at a meeting of the membership, and you can do what you need to without involving the board. (Presuming your board is subordinate to the membership, which is usually the case, but check your bylaws.)

Edgar Guest Posted May 12, 2015 at 06:37 PM Report Share Posted May 12, 2015 at 06:37 PM Are there any mention of the rules in roberts rules 11 edition The book is filled with rules. And one of the most basic rules is that a majority decides what to do. So if you want to order a forensic audit, make a motion to do so and get a majority of the members (present and voting) to agree with you. As Mr. Novosielski noted, if the board is unresponsive, the general membership can act. You might also consider disciplinary action against whoever is responsible for populating the audit committee. Majority rules. Alternately, a member could make a motion to create an audit committee, raise a Point of Order tha an Audit Committee needs to be created to perform an audit, and Appeal from the decision of the chair if necessary.
