If a paid member organization wants to be elected to a committee that funds said organization, it that a conflict. Ex: marching band instructor wants to hold a position on a parent organization that help to fund band, is that a conflict.

so our bylaws state that music directors and fine arts directs can only serve as adviser, and this person is the instructor in the band and directs plays for drama club, how should we handle this. does this make this person exempt according to bylaws?

The members are free to elect whoever they want.  The By-laws can be amended to stop this from occurring.

Also, this would only constitute a conflict if the members say so.  There are two ways of looking at this:  one is that it is a conflict, but another is that the instructor will be able to better lobby the committee for funding, new equipment, etc. if he/she is a member of the committee.
