And if the President states at one point the board agrees to meet with different expectations than you requested, then turns around in her next response to state "we don't want the change" (meaning the board members-without asking the board) and denies the meeting, is there a discipline issue as a President? Richard Brown Posted May 20, 2015 at 12:28 AM Report Share Posted May 20, 2015 at 12:28 AM I'm not sure I fully understand your question, but an individual member has no right to demand a meeting of the board unless there is a rule granting members that authority. A member can request a meeting of the board, but the president and the board (or whoever has the authority to call special meetings of the board) has no obligation to grant that request. It is up to your organization to determine whether the president's behavior was such that would warrant disciplinary action or removal from office. It may be that she simply changed her mind about something. You should study your own bylaw provisions on discipline and removal from office. Well, you can't force the board to meet, and even if you could, I don't see what good it would do you. If they don't want the change and you force them to meet, they will simply vote against the change. (I have no idea what "the change" is, at least in this context.) What you might want to do is find out how to have a special meeting of the general membership. If they want the change and the board does not, the membership wins.
