Any restricted class of members, such an "non-voting members", has to be fully defined in your bylaws as to what rights are retained. Some here argue that all rights (except to vote, in the "non-voting" example) are retained; others claim only your association can figure this out - p. 588 - and should put it in the bylaws, p. 3, lines 9-11.
