Guest Andrea Miller Posted June 21, 2015 at 04:34 PM Report Share Posted June 21, 2015 at 04:34 PM Thanks to those who have responded to my initial inquiry regarding procedures for a special meeting scheduled for 6/24 regarding violations of fiduciary responsibility. A new wrinkle has developed: one of the accused is the president who has resigned via e-mail. Our by-laws clearly state that the office transfers to the VP. Our next regular board meeting is 7/6. When/how should the resignation be formally accepted and announced?Thank you
jstackpo Posted June 21, 2015 at 04:46 PM Report Share Posted June 21, 2015 at 04:46 PM You don't have to "accept it" at all. That is, if you wish to keep the president under the disciplinary reach of the association -- you might be able to extract some sort of recompense from the president. Maybe. Will s/he still be a member of the association after his/her resignation is accepted.? But to get him/her out of the presidency ASAP, if it isn't too late for the special meeting notice deadline, add "Accepting the resignation" to the noticed business for the meeting. If not possible, s/he will remain president for the special meeting, and you will have to call another special meeting, or wait until July. Dan Honemann Posted June 21, 2015 at 04:57 PM Report Share Posted June 21, 2015 at 04:57 PM Well, if the resignation has been properly submitted, and if the board has the power to accept it, it may be acted upon at the special meeting to be held on June 24 (RONR, 11th ed., p. 291, ll. 14-16; p. 93, ll. 3-6).
