And: Do the bylaws spell out the nature of the "jeopardy" for "non-attendance". And how do you define and track "attendance"? Showing up? On time? (How late is OK?) Signing in? Staying awake for the entire meeting? Not leaving early? How "early". How do you tell if someone signs in another person's name? Or neglects to sign in but is there anyway. How do you track all this? RONR has no "attendance" requirements, thus avoiding all these questions, and many others. But if you are satisfied that the bylaws are OK, then, yes the Secretary should take minutes as in any other proper meeting. Link to comment Share on other sites More sharing options...

There must be a quorum for any meeting to proceed. I'm guessing that the OP is doubtful that a quorum will be obtained for this special meeting. In the bylaws, members are asked to attend monthly meetings, but I would say that is doesn't seem like a requirement, as there are no consequences if the request is not fulfilled.. If, indeed, your bylaws do not specify a quorum, I suggest you modify your bylaws to include a reasonable number for the quorum.
