Guest Andrea Miller Posted June 21, 2015 at 05:53 PM Report Share Posted June 21, 2015 at 05:53 PM Thanks for insights into our special meeting for violations of fiduciary responsibility procedures. A new wrinkle has emerged: This special meeting is scheduled for 6/24 and one of the accused is the president who has now resigned via e-mail. By-laws allow transfer of duties to the VP, however we think that the resignation must be formally accepted but our next regular board meeting in 7/6. Question: should we call a "extra" special meeting to accept the resignation or can we wait until July? The purpose of the special meeting was to ask for the resignations of the president and one other board member.
