wwdslovene Posted March 16, 2016 at 11:26 PM Report Share Posted March 16, 2016 at 11:26 PM Our Board of Directors has 20 members from all around the state. We are going to vote on some changes in the existing bylaws. If a director cannot attend and sends someone in his / her place, does that person have the right to cast a vote as per Robert's Rules? Our bylaws state that a majority of those eligible to must be present to form a quorum and to vote, so we need 11 in this case.
