The 15th board member spot had a tie. Our bylaws do not state how to break an election tie for 15th spot. Whomever the 15th spot goes to would push the other member to Alternate position #1 of 5. Can one of the two members tied for 15th spot waive the contention to the 15th spot, or is there another process to resolve the issue? Link to comment Share on other sites More sharing options...

The board of directors meet in person and yes, could also vote by email. But it sounds like if there is no contention then re-balloting is not necessary. Should this result be required to be put in the next meeting mins? or even if one waives the position does that action need to be approved? In my opinion, the candidate willing to accept "second place" should state affirmatively that he declines the election to the board and accepts the first alternate spot. I would have the minutes say something to the effect that there was a tie for the 15th board slot between member A and Member B and that Member A broke the tie by declining the board seat and electing to accept the first alternate position.
