Nominations and Elections of Board Members

Recommended Posts

Guest Julia

We are a small charitable organization and have 8 board members.   Recently, a Special General Meeting was called to fill three board of director vacancies.

Question:   At the SGM, 3 people were nominated for these positions.   They were not voted on by the members at the SGM or acclaimed, rather, they were presented at the next  Board meeting and only one of them was approved by the board.   Our practice has always been to allow anyone who volunteered for any board position, to be allowed on the board, then ratify them at the AGM.   Did the Board have the right to vote on approving these 3 people, and not allowing two of them to the board?

Thank you

Your questions can only be answered by careful study of your bylaws, I fear, in particular those portions that delineate the powers (if any) of your board.

Please don't post your bylaws here as we are not in a position to figure out what they may mean. See p. 588 for some possible "how to figure them out" steps.   Or hire a parliamentarian...

Then why didn't you fill them? This statement implies that an election was to be held. Read your bylaws to find out how vacancies are supposed to be filled and if your board really has the power it has taken unto itself.
