One member of our Board has asked that we record a memo (separate to the minutes) detailing the unfounded rumors and discussion around them. Is that necessary? I don't see what the purpose of such a memo might be. I can think of several reasons that it would be unwise. But in any case, No, one member cannot demand the creation of such a memo.
