Executive Committee rights

Why is it vacant?  What do your bylaws say about filling vacancies?  Most likely, it should not be vacant, since the vice-chair should have assumed the position (but there would then be a vice-chair vacancy).  In any case, it will depend on what your bylaws say about it, and we might be able to help to some extent if you give the exact language for filling vacancies.  The item would necessarily need to be included in the call to the meeting, since special meetings are limited to those topics in the call.

In our bylaws it states that 4 members of the executive committee may call a meeting without the chair's appointment. If our agenda item is an election for a vacant chair seat, would that fall in our rights?

If your statement reflects accurately what the bylaws say, it appears that four members of the executive committee can call a special meeting regardless of what the topic(s) of that meeting will include.
