Gerald Posted July 2, 2018 at 05:41 PM Report Share Posted July 2, 2018 at 05:41 PM In a new association's board (or an all new board of directors), what determines the officers of the board, i.e., the president, secretary, etc.?

Greg Goodwiller, PRP Posted July 2, 2018 at 06:02 PM Report Share Posted July 2, 2018 at 06:02 PM The only officers required for the conduct of business in a deliberative assembly are a presiding officer and a secretary or clerk (RONR pg. 22, ll. 1-5). The assembly's bylaws should contain one or more articles defining these and any other officers. An article of the bylaws on the board would also list which officers make up the board, and describe its duties and authority.

In our by-laws the officers are only enumerated, a president (must be a board member). a secretary, and a treasurer, but does not state their rank or how selected. At our last meeting the entire board (3 members) was elected and it was stated the board would select its president. One member thought this was against Robert's Rules of Order, and there is nothing in our by-laws governing this. Then you should amend your bylaws. The only officers, though, are the President, secretary, and treasurer. There really is no concept of "rank" here; the officers each have their own jobs. As to selection, well, I would think if the bylaws are silent that the assembly can choose from any of the methods in RONR, but the question becomes what the assembly is. The fact that the President must be a board member is indicative of something (although I'm not sure what). Can you quote verbatim how your board gets selected, and the designation of the officers? Greg Goodwiller, PRP Posted July 2, 2018 at 07:12 PM Report Share Posted July 2, 2018 at 07:12 PM Does your "association," whatever it is, have those officers (a president, a secretary, and a treasurer)? And how are they elected? Normally, they would be the same people - and the President of the association would also preside at its board. It doesn't have to be that way. But generally, a bylaws article would define the association's officers, and then the article about the board would say that it is composed of the officers, plus some members at large, or whoever else the association wants on its board. Gerald Posted July 2, 2018 at 09:34 PM Author Report Share Posted July 2, 2018 at 09:34 PM Yes, president, secretary, and treasurer, elected by ballot, the most number of votes getting 3-years, the second greatest number, 2, etc., but nothing stated about which office will be held respective to the number of votes

Gerald Posted July 3, 2018 at 12:57 PM Author Report Share Posted July 3, 2018 at 12:57 PM Permit me to restate my original post, Is there any part of Robert's Rules of Order that stipulates the officers for a board of directors based on the number of votes for those directors? You've piqued the curiosity of some of us on this forum regarding how your group is structured, particularly this mix of terms and positions. Was this, perhaps, your first-year with the new structure or transitional provision?
