Meeting never adjourned

At a recent meeting, a quorum was present until a certain point at which a member of the board had to leave. At this point it became not a quorum and the president said we can’t do anything else because we don’t have a quorum. No motion was made to adjourn nor any spoken word from the president of the meeting being adjourned. Does this make the meeting official and does the proceedings prior to this become as official minutes?

The meeting was official. The lack of a formal adjournment doesn't make any difference. Everything that transpired prior to the loss of the quorum is presumed valid and stands. There should be minutes from the meeting and those minutes should include everything that would normally be in the minutes.

I concur with Mr. Brown, and will add that even without a formal motion or declaeration of adjournment, if everyone left, the meeting effectively was adjourned by unanimous consent.

The chair was apparently unaware that even in the absence of a quorum, a motion can be made to adjourn, to recess, to set a time for an adjourned meeting, or to take steps to attempt to acquire a quorum.

But even in the absence of a statement that the meeting was adjourned, it obviously did adjourn, and all actions taken before that are valid.
