Guest Crissy Willson Posted February 14, 2019 at 11:52 PM Report Share Posted February 14, 2019 at 11:52 PM At a board meeting Directors are provided paper to write motions. Often, they will write a motion and then change it a bit as they read it. Prior to the second the Secretary rereads the motion as captured in the minutes. This may differ from the original handwritten motion but concurrence is gained by the maker that it is the motion they are putting forward. The motion is then seconded and debated. Prior to calling for the vote the motion is read again. The vote is then called. It is my understanding that the motion as read to the body and recorded in the minutes is the motion that stands. A previous director is now challenging this and indicating that the motion as handwritten by the Director should be the motion that stands (spelling errors and all). What is correct? Thank you for your time.

jstackpo Posted February 15, 2019 at 12:03 AM Report Share Posted February 15, 2019 at 12:03 AM Your understanding is correct: the read out, not the written, motion is what goes in the minutes. RONR, p. 469 & p. 44, line 22ff. If the assembly is unhappy with the minute phrasing, they can amend the minutes next time.
