Guest MELISSA Posted March 11, 2019 at 06:52 PM Report Share Posted March 11, 2019 at 06:52 PM If a sitting board member chooses to run for another position must they first resign their current position? For example: Mary is secretary but has interest in the vice president. If she runs for VP and looses can she still maintain her secretary position? Joshua Katz Posted March 11, 2019 at 07:03 PM Report Share Posted March 11, 2019 at 07:03 PM No rule in RONR requires the person to first resign in order to run.
jstackpo Posted March 11, 2019 at 07:03 PM Report Share Posted March 11, 2019 at 07:03 PM No requirement to resign to run for another job (unless your bylaws have such a rule) and if Mary doesn't get elected she retains the Secretary job. She probably should resign if she wins. Which means if she does win and resigns, there would be a vacancy to fill in her old position, so you might want to alert the Nominating Committee about the possibility. Atul Kapur Posted March 12, 2019 at 12:51 AM Report Share Posted March 12, 2019 at 12:51 AM Just making explicit that, not only does the Secretary not have to resign to run for VP, there is no requirement to resign even if she is elected VP. That is, there is nothing in RONR prohibiting one person from holding two different officer positions. This person would still only have one vote. Your bylaws my have more restrictions. Not only is it not necessary to resign, it is not a good idea. It makes much more sense to wait and see how the election turns out. And if the terms of secretary and vice president end (and therefore begin) at the same time, she can even run for both positions. And while she cannot be elected to both positions on a single ballot, she could be elected to both if the votes for each office are held separately. But check your bylaws, many organizations do not permit someone from holding multiple offices..
