Guest Duane Hanson Posted March 14, 2019 at 08:21 PM Report Share Posted March 14, 2019 at 08:21 PM In a Board of Directors group containing six directors a normal quorum would be four Directors present. The By-Laws of the group is silent on how the term "present" is to be defined. Without a specific allowance in the By-Laws can members participating via teleconference be included in the number needed to make a quorum? Greg Goodwiller, PRP Posted March 14, 2019 at 08:27 PM Report Share Posted March 14, 2019 at 08:27 PM You bylaws would need to include an article authorizing electronic participation in meeting (see RONR pp. 97-99).
