Guest Anne Posted April 4, 2019 at 01:50 PM Report Share Posted April 4, 2019 at 01:50 PM Hello. I am a member of an organization whose board has been behaving in a number of inappropriate ways (disregarding bylaws, policies, rules of order, etc. etc. etc.) and treating poorly members (including fellow board members) who question this behaviour. A number of people have resigned from the board as a result. Is it permissible for a motion to be made at our AGM to have the minutes of specific board meetings read to the general membership at its AGM, or would that be against either the law or Robert's Rules of Order? Joshua Katz Posted April 4, 2019 at 01:57 PM Report Share Posted April 4, 2019 at 01:57 PM We can't speak to any laws that might be binding on your organization. So far as RONR is concerned, the assembly may order the board to produce its minutes by a 2/3 vote.

"A record of the board's proceedings should be kept by the secretary, just as in any other assembly; these minutes are accessible only to the members of the board unless the board grants permission to a member of the society to inspect them, or unless the society by a two-thirds vote (or the vote of a majority of the total membership, or a majority vote if previous notice is given) orders the board's minutes to be produced and read to the society's assembly.
