Guest Josh Posted May 29, 2019 at 02:32 PM Report Share Posted May 29, 2019 at 02:32 PM I am part of a corporation whose board voted on a motion and now several members of the corporation, who did not like the outcome, want the board to reopen the motion and vote again. Is this proper?

Is this proper? No. If the original motion was not adopted it can be made anew by any member at any subsequent session. RONR (11th ed.), p. 336ff If the motion in question was adopted, any member may move to rescind or amend that motion provided that it is still applicable. Joshua Katz Posted May 30, 2019 at 04:22 AM Report Share Posted May 30, 2019 at 04:22 AM Agreeing with Mr. Mervosh, I would add that all references to "any member" in his answer refer to members of the board. What may be done by the members at a meeting of the assembly is potentially impacted by corporate law.
