New Board, New Quorum??

Our homeowners association held its annual general meeting this month. The association elected/confirmed 6 board members, 3 existing and 3 new members.

Our constitution states the board can comprise 5 to 9 members. Last year there were 9 members at the start but 6 resigned for various reasons.

The question now is do we need 5 members present for a quorum at a board meeting, based on last year's 9 membership or is the quorum 4, based on this years 6 membership.

Unless you have a bylaw provision to the contrary, the quorum would be based on the current makeup of the board of six members.  A quorum would therefore be four members.
