Posted July 18, 2019 at 03:23 PM Report Share Posted July 18, 2019 at 03:23 PM we had an urgent matter arise and a member of the BOD sent a text message to all other BOD members asking for funds to fix an issue. He placed the motion in the text message and sent it out. the majority of the BOD replied and concurred with the motion, one stated that this was in violation of Roberts Rules of Order. I know times have changed and so has the communication process, does this act require a special meeting or can the BOD vote via text for a pressing matter prior to the scheduled meeting or without calling for an emergency meeting?
