Majority of the Board

The Board consists of 9 members.

If the Bylaws state, "Motions made in Board meetings, excluding Executive and Special Session, shall be read and passed a minimum of three times before finalized and acted upon unless readings are waived by two-thirds (2/3) majority of the Board (6)..."

Question: Does the qualifier "(6)" as written into the Bylaws make it mandatory that the Board be at full attendance of 9 members when voting?

I think it is somewhat unclear whether including the number “6” in the rule means anything at all, or if it is included merely for illustrative purposes. In any event, I certainly do not think it means that nine board members must be present. It may well mean, however, that six votes are required even if some board members are absent, or possibly even if (due to vacancies) there are fewer than nine total board members.

In the long run, it would be desirable to amend the rule for clarity.
