Two board members voted against the revisions. As per our bylaws, proposed revisions must now be voted on by the general membership. Two questions, 1/do the board members vote again? 2/if the answer to 1 is yes, are the dissenting board members required to vote with the majority board approved revisions or can they vote “no”? Thank you If they are part of the general membership, they can vote, and they most certainly can vote no. No rule in RONR compels a member to vote a certain way on any question. This goes for the other board members who initially voted in favor. They may be persuaded in debate to vote no as members of the general membership. Based on your feedback, although our current bylaws require the board to vote first, it may very well be that the board voting on a bylaw prior to the general membership is not really necessary. Other than offering the board's opinion on any proposed amendments, it's probably not, but nevertheless, if the bylaws require the board to something, the board must do it. Well, it is unless and until the bylaws no longer require it.
