Approval required for inquorate meetings?

Last quarter, the meeting began with a quorum established. Prior to conducting business, the quorum was no longer present and remained that way for the duration of the meeting. No business was conducted, mostly reviewing reports in the pre-meeting packet and some random staff introductions.

The question at this quarter's meeting was can the board approve minutes of an inquorate meeting? The minutes contained list of those present and the acknowledgement of a lack of quorum.

We are a non-profit. As a result, the auditors and some of our funders request copies of the approved minutes on an annual basis.

Yes, the meeting was held and minutes should be kept even although no quorum was present. These minutes should be corrected (if necessary) and approved at the next meeting of the board at which a quorum is present.

If the inquorate meeting was a board meeting, then the answer is Yes, as Mr. Honemann has said.

But it's not clear from the question whether the inquorate meeting was a board meeting, or a general meeting.
