Guest ChiGirl Posted January 6, 2020 at 10:39 PM Report Share Posted January 6, 2020 at 10:39 PM My condo association had a quarterly meeting, and the secretary was not present due to illness. No meeting minutes have since been distributed. Is there a legal window of time necessary for distribution of minutes? If no minutes were taken, can any business conducted at the meeting actually be acted on?

We can’t speak to “legal” here, but so far as RONR is concerned, there is no requirement that minutes be distributed at all. They are required to be read at the next regular meeting (although this of course will not be possible if no minutes were taken). Many organizations, by rule or custom, distribute the minutes in advance, which has the advantage of forgoing the reading of the minutes unless requested. If no minutes were taken, business conducted at the meeting may still be acted upon. As soon as possible, however, the assembly should appoint a committee for the purpose of creating meeting minutes from the best of their recollection, and those minutes should subsequently be approved. For future reference, if the Secretary is absent, a Secretary Pro Tempore should be elected.
