Tie Votes at AGM

Currently our board is made up of Class A Members (3 Directors) and Class B Members (6 Directors). Class A members vote on items at the AGM - we haven't had a scenario with a tie vote with the 3 Class A Directors.

We've taken on a fourth Class A Member, leaving room for a tie. The current Chair is not a Class A member, but if there was a tie between the 4 Class A Members, could he step in and vote at the AGM?

At our next AGM in the fall, it is likely that one of the Class A Members will become the Chair - would he have two votes: one as a Class A member and one as a Chair (if needed in the case of a tie)?

If I understand the facts correctly, certain items may be voted on only by Class A members. If this is the case, then if the chair is not a Class A member, he may not vote on those items.

No. Members only get one vote.

It also is not "needed" to break a tie. In the case of a tie vote, the motion is defeated.

Yes, correct. Class A members can vote on auditor appointments for the upcoming year, auditor reports as well as Director candidate recommendations at the AGM. Class B members do not get to vote on these items, but can attend the meeting.

To-date, all Class A members have attended AGMs, so we haven't had to deal with ties before.

There is nothing special involved in "dealing with" ties.  A tie vote is a vote like any other, and since it is less than a majority, the Noes have it, and the motion is defeated. 

Nobody gets more than one vote.
