Guest Guest Posted July 10, 2020 at 06:02 AM Report Share Posted July 10, 2020 at 06:02 AM Bylaws says a vote can be done by email on urgent matters that need to be addressed outside of or in between meetings. My question is, is debate necessary on these same matters that are voted on by email outside of meetings? There was no call meeting. Just an email explaining the item requiring action. Also what if one member requests debate and a call meeting after receiving the email requesting the vote (and some members have already submitted their votes; so technically you’re already in the middle of receiving member votes). Can the chair deny granting the call meeting and debate based on the bylaws wording?
Transpower Posted July 10, 2020 at 12:16 PM Report Share Posted July 10, 2020 at 12:16 PM Conducting business via e-mail does not constitute a "deliberative assembly." RONR (11th ed.), p. 98, ll. 14-17. Of course, your Bylaws overrule RONR, but it's very difficult to conduct a debate via e-mail.
