A Dying Organization

As you know, this PANDEMIC has basically put a pause on all activities.  Our membership consists of NON-active members.  Ones that don't show up to meetings and basically just pay the membership in order to join our events throughout the year.  Non of those events happened this year and so we expect that our general membership will drastically decline and aren't sure how this will even proceed in the future.

Our slate for new board members is supposed to be presented to the General Membership in November to vote on for the new board of directors.  We do not have that slate because we do not have a full panel of nomination committee members to find those nominees.  There is also no physical way to give our general members an opportunity to meet and agree to a slate, and of course follow on vote in person.  We are supposed to hold these elections next month and then have the new board change hands at our December meeting.  Currently the President & Treasurer will be stepping down.

I don't think I can really assist with the organization's struggles with retaining members. That is not a parliamentary issue. I may, however, be able to assist with ensuring that the society continues to have a board of directors, if you can provide some information.

What is the exact wording your bylaws use to define the term of office for officers? Additionally, do the bylaws grant the board the authority to fill vacancies (or grant the board full power and authority over the affairs of the membership)? Finally, is it possible for the board to meet, either because it is possible for the board to meet in person due to its smaller size or because the board is authorized to hold electronic meetings?
