The vote on this motion was: In favour (aye)15 Against (nay) 20 The bylaws in these are as in RONR 56:63 section 3. (On a written request of ten members a special meeting shall be called) Given that the motion was in writing. Should the special meeting be called or not? Well, it seems to me that what happened is that the organization didn't follow the procedure that would have made sense, and no one can makes heads or tails of the outcome. Those who voted in favor should, in my opinion, now produce a written request, which seemingly must be granted. Do the bylaws contain any provision for vetoing such a request? Based solely on what you told us, I would say no, the special meeting should not be called since 10 members apparently did not request the meeting in writing as required by the bylaws. The fact that the motion was in writing is meaningless unless at least 10 members signed the motion. Even then, that is not the proper way to do it. The proper way is for 10 members to sign a petition, form, letter or statement requesting a special meeting pursuant to article whatever of your bylaws. No vote should be taken on the request since the bylaws provide that such a meeting shall be held upon the written request of 10 members.
