KeithG Posted February 3, 2021 at 08:30 PM Report Posted February 3, 2021 at 08:30 PM Does a President of a board have the right to nominate an individual for a vacant board position seat? Quote
Bruce Lages Posted February 3, 2021 at 08:41 PM Report Posted February 3, 2021 at 08:41 PM In general, yes, assuming the president is a member of the assembly that will hold the election. However, if this assembly is anything larger than a 'small board' (no more than about a dozen members) and the president is the presiding officer, he should not be making nominations in order to preserve the impartiality required of a presiding officer. Rob Elsman Posted February 3, 2021 at 09:00 PM Report Posted February 3, 2021 at 09:00 PM In general, I agree with Mr. Lages; however, if nominations are done by secret ballot, as does sometimes happen, the presiding officer may nominate, just like other members. See RONR (12th ed.) 46:22ff. Quote
