Small boards

Under the heading of "small boards" it states that the board is less than 12 people.

We have a homeowners cooperative with 141 members. Our " Board of Directors " consists of 9 people. My question is: does the small board apply to us since the board only votes or are we not a small board because we have 141 members at large?

Based upon the provided facts, the small board rules would seem to be appropriate for meetings of the board of directors, since the board has only nine members. It is ultimately, however, at the board's discretion whether to use the small board rules, in whole or in part.

The small board rules are not applicable to meetings of the society's full membership (regardless of size) unless the membership specifically adopts special rules of order to that effect. Given that there are over 100 members, it would not seem prudent for the membership to adopt such rules.
