If that's the case, the answer is yes, the only exception being the one stated in RONR (12th ed.), §63, n9 regarding conducting a trial and determining punishment. Clearly an oversight when the bylaws were amended to meet Ontario provincial regulations for NPO/Charities. We will have to correct that. Thank you for the reply. That act, which is not yet in force, has a default provision for who can call a special meeting (10% of the membership can do that). Your organization can set a lower percentage in your by-laws. As I understand, there is no such provision in the current act that still applies until the unknown date when the new act comes into force. So, yes you do appear to have a gap.
