Policies & Procedures Question

The club's Bylaws do not reference "Policies and Procedures", yet the general membership (prior to my becoming a member) voted in policies and procedures.

Most fit under the classification of Standing Rules.  Some conflict with the Bylaws and RONR.  The club's Parliamentary Authority are RONR where its not inconsistent with the ByLaws or special rules of order the club may adopt.

Would the board have authority to eliminate and/or revise these Policies and Procedures or would this have to be presented to the membership for a vote?

The board's powers are stated as "General management of the club's affairs shall be entrusted to the board of directors."  This is such a mess. Thanks.

The latter. If the membership adopted these rules, only the membership has the authority to rescind or amend them.

It is correct that the term "Policies and Procedures" is not found in RONR. Depending on the content of the rules, they may be in the nature of Special Rules of Order or Standing Rules. It may well be that the document contains some of each. These types of rules are discussed in RONR (12th ed.) 2:14-24. The short version is that special rules of order relate to parliamentary procedure and standing rules deal with other matters.

You say that some of the rules conflict with RONR. Those rules would almost certainly be in the nature of special rules of order. You also say that some of the rules conflict with the bylaws. Those rules are null and void, since the bylaws take precedence over the other rules of the society.

While the specific procedures for adopting, amending, or rescinding special rules of order and standing rules differ, it is correct in both cases that "If the membership adopted these rules, only the membership has the authority to rescind or amend them."

They are very likely an assortment of both standing rules and special rules of order.
