TVS Posted September 30, 2022 at 04:20 PM Report Share Posted September 30, 2022 at 04:20 PM Ours is Non for profit organizations with 16 Board members. One of them chairs the meeting. The chair proposed a written motion to appoint an Ad-Hoc committee including the scope of work, chairperson of the committee and the members of the committee. The motion was duly seconded. After long discussion the chair moved a new motion to appoint 2 people as Co-chairs for the committee. Question: a. Can second motion be moved (not as amendment) while original motion is still on the floor. b. does Passing of second motion automatically removes the original motion from the floor. c. If second motion is taken as amendment to the first motion. Does the content of original remains the same except for proposed amendment. Second motion only indicated the appointment of 2 co-chairs only.

No. On 9/30/2022 at 11:20 AM, trmarwaha said: b. does Passing of second motion automatically removes the original motion from the floor. if no one raises a timely point of order and the second motion actually gets adopted, it is my opinion that the second motion has effectively replaced the first motion. It actually sounds like the second motion might have been proposed as a substitute motion even though the appropriate language was not used. On 9/30/2022 at 11:20 AM, trmarwaha said: c. If the second motion is adopted as an amendment to the first motion and then the first motion is adopted as amended, then, yes, the first motion remains the same except for the fact that the committee will have two co-chairs (normally a terrible idea and strongly discouraged by RONR). If this is the situation, then the main motion to appoint the committee, as amended but with all the other details intact, should still be voted on.
