Guest Anon Posted February 15, 2023 at 04:47 AM Report Share Posted February 15, 2023 at 04:47 AM Executive Session matters were brought up at the end of a General Session meeting. The Chair attempted several times to end the conversation and to move the conversation to the Executive Session, but board members ignored them and kept discussing... When drafting the minutes, do you include a summary in the General Session, Executive Session or provide no record of such discussion? Atul Kapur Posted February 15, 2023 at 06:53 AM Report Share Posted February 15, 2023 at 06:53 AM Minutes should not include discussions at all (not even a summary). RONR (12th ed.) 48:2 "In an ordinary society, the minutes should contain mainly a record of what was done at the meeting, not what was said by the members." One way of doing this is: "The member will suspend. This matter is suitable for discussion only in executive session so further discussion will cease until that time. <then without pausing> The next item of business is...." or "If there is no further business, the meeting is adjourned." or, if it is time for executive session anyway, "The question is, shall the meeting now go into Executive Session? Those in favor...."
